Terms of Service

DRAFT — ATTORNEY REVIEW REQUIRED. This document is a draft prepared for TENGAIKOKO LLC and has not been reviewed by a licensed attorney. It should be reviewed and approved by qualified legal counsel in Michigan before it is published or relied upon. Nothing in this document constitutes legal advice.

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TENGAIKOKO LLC, a Michigan limited liability company ("Tengaikoko," "we," "us," or "our"), governing your access to and use of our website at tengaikoko.com (the "Site") and the services offered through it (collectively, the "Services").

By accessing the Site, creating an account, placing an order, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or the Services.

2. Who We Are and What We Sell

Tengaikoko is an online retailer and the seller of record. We list products on the Site, sell them to you at one all-in delivered price, and deliver them to you in Zimbabwe. When you place an order, you are buying goods from Tengaikoko. We own the goods until they are delivered to you. We are never a forwarder or a buy-for-you service, and we do not ship, forward, or receive goods on behalf of customers or third parties.

Alongside our products, the Site provides:

  • Delivered prices: the price you pay us is one all-in price. Delivery to Zimbabwe, and our estimate of customs duty and VAT, are included in that price and are not shown as separate charges;
  • Tariff and duty information: reference information about Zimbabwe Revenue Authority (ZIMRA) tariff classifications used to estimate the duty included in your price;
  • Order tracking: status updates on your order from purchase to delivery; and
  • Delivery: delivery of the products you bought from us, including customs clearance. Pickup is at the Harare collection point. We'll confirm the address and opening hours before your order is ready. Bring your order number and photo ID.

We may change, suspend or discontinue any part of the Site at any time. This does not affect orders you have already paid for.

3. Prices, Estimates and Your Order Total

Product prices shown at checkout include delivery to Zimbabwe. Some parts of the price, such as customs duty and VAT, are estimates based on the product category, and delivery dates are estimates, not guarantees. Amounts can differ because of, for example:

  • the actual weight and size of the packed product;
  • changes in our delivery costs;
  • a different duty classification or assessment by ZIMRA; or
  • exchange-rate movements between the U.S. dollar and other currencies.

The total you approve at checkout is the price you pay for that order. If we learn before dispatch that the total needs to change, we will tell you first and you may cancel for a full refund. If ZIMRA assesses a materially different duty, we will contact you before release, as described on our Shipping policy.

4. Your Responsibilities

You agree to:

  • Give us accurate, complete and current account, contact and delivery details, including the name and phone number of the person receiving your order;
  • Tell us if a product you order needs a licence, permit or type approval to be used in Zimbabwe that you hold or will apply for (for example, some radio equipment);
  • Be available, or have your recipient available, to receive or collect the order; and
  • Pay for your order, and any amount you agreed to under Section 3, when due.

5. Restricted and Prohibited Items

We do not sell or deliver the following, and will cancel and fully refund any order that includes them:

  • Illegal drugs, narcotics and controlled substances;
  • Firearms, ammunition, explosives and weapons of any kind;
  • Hazardous materials that cannot lawfully be carried by our carriers under IATA, DOT or other applicable rules;
  • Counterfeit goods or goods infringing intellectual property rights;
  • Perishable goods requiring refrigeration;
  • Live animals;
  • Currency, negotiable instruments or precious metals; and
  • Any item whose export from the United States or import into Zimbabwe is prohibited by law.

Restricted items can be sold but need special handling. These include lithium batteries and power stations. That handling stays inside the one all-inclusive price. They do not ship separately and they do not cost more on top of the price you pay. Phones and radios must meet POTRAZ type-approval rules in Zimbabwe. We show these conditions on the product page or at checkout before you pay.

6. Holding, Collection and Storage

  • Products you buy from us are inspected and packed by Tengaikoko before dispatch.
  • Free holding period: Pickup is at the Harare collection point. We hold your order free of charge for up to 30 calendar days after it is ready to collect. After the free period, Tengaikoko charges $1.00 per package per day, capped at $30.00 per package in total. This fee applies only to a pickup order that is not collected within the free period, or after a door-delivery attempt fails and the order is still with us. A completed door delivery does not incur this fee.
  • Pickup orders that are still uncollected for 90 calendar days after that free holding period starts may be deemed abandoned and disposed of at our discretion, with any proceeds applied against outstanding charges.
  • Products are our responsibility until they are delivered to you or your recipient, or collected. Transit protection details are confirmed at checkout. See our Shipping policy for lost or damaged parcels.

7. If a unit is dead on arrival

  • Every unit is checked before it ships. We keep photos, the IMEI, and the battery health from that check.
  • If a unit is dead on arrival, tell us within 7 days of handover (when it was delivered or collected), with your order number, through Support or WhatsApp +1 (771) 222-2695.
  • We first repair it at a trusted Harare repair partner, at our cost. If it cannot be repaired, we swap it for a like-for-like unit from stock.
  • A refund happens only after the unit is returned to us.
  • Drops, liquid damage and physical damage are excluded.
  • There is no fee for you. The check, the repair and the swap are all-inclusive.

8. Customs Duties and Taxes

Your delivered price includes our estimate of Zimbabwe import duty and VAT, and we arrange customs clearance for the products we sell. Our tariff information is a reference estimate and does not guarantee what ZIMRA will assess. If the assessment is materially different from the estimate in your price, we will contact you before release.

Customs processes can cause delays outside our control. We will keep you informed through your order tracking.

9. Payment Terms

  • Payment is due at checkout, in United States Dollars, through PayPal only: a PayPal account, or a Visa or Mastercard in PayPal checkout. Family abroad can pay for you. Lay-by instalments are paid through PayPal too (see Payment plans & financing).
  • Orders are screened against U.S. sanctions lists and may be held for review or refused. We do not ship an order we cannot complete for this reason, and we refund any payment already taken.
  • Orders are dispatched once fully paid. Lay-by orders are held and released when the plan is fully paid.
  • Refunds are handled as set out in Section 11 and our Returns & Refunds policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • IN NO EVENT SHALL TENGAIKOKO LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100.00).
  • We are not liable for delays, losses, or damages caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, government action, customs delays, carrier failures, pandemics, or natural disasters.

11. Cancellations and Refunds

These rules match our Returns & Refunds page. If the two differ, these Terms control.

  • Before we buy the item: Cancelling before Tengaikoko has bought the item is a full refund. If we cannot supply the item, you get a full refund of what you paid. In-stock items cancelled before dispatch are refunded in full.
  • Special orders: A special order cancelled after Tengaikoko has bought the item is refunded less a cancellation fee of $25. That fee is charged only in that case. That fee is the only deduction. There is no separate charge for freight, duty, or delivery. The same rule is on our Returns & Refunds page.
  • After dispatch: After dispatch, the order cannot be cancelled. Our returns policy applies. Damaged, faulty or wrong items are covered by our Returns & Refunds policy.
  • Lay-by plans: cancellation follows the lay-by terms shown on our Payment plans page and in your plan.
  • Not refundable, unless the problem was our fault: the holding fee after the free period, when that fee applies. This fee applies only to a pickup order that is not collected within the free period, or after a door-delivery attempt fails and the order is still with us. A completed door delivery does not incur this fee.
  • Refunds, including for overcharges or billing errors, go back through PayPal.

12. Accounts

  • You must provide accurate registration information and keep it current.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must be at least 18 years of age to create an account and use the Services.
  • We may suspend or terminate your account for violation of these Terms, suspected fraud, or non-payment.

13. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, and the Tengaikoko name and logo — is the property of TENGAIKOKO LLC or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written consent.

14. Dispute Resolution

  • Governing law. These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.
  • Informal resolution. Before initiating formal proceedings, you agree to contact us at the address in Section 17 and attempt to resolve any dispute informally for at least 30 days.
  • Binding arbitration. Any dispute not resolved informally shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Ingham County, Michigan. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
  • Class action waiver. You agree to resolve disputes on an individual basis only and waive any right to participate in a class action, class arbitration, or representative proceeding.

15. Modifications to Terms

We may revise these Terms at any time. Material changes will be announced by posting the updated Terms on the Site with a revised "Last updated" date. Your continued use of the Services after such posting constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Severability; Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect. These Terms, published at tengaikoko.com/terms, together with our Privacy Policy and the Shipping, Returns & Refunds and Payment plans policies on the Site, are the entire agreement between you and Tengaikoko regarding the Services. If any of those policies differ from these Terms, these Terms control.
